Mississippi Higher Education Assistance Corporation (“MHEAC”) and Woodward Hines Education Foundation ("WHEF") are Mississippi nonprofit corporations that operate exclusively for charitable and educational purposes under Section 501(c)(3) of the Internal Revenue Code. WHEF, formerly named Education Services Foundation, is established and operated exclusively for the benefit of, to perform the functions of, and to carry out the purposes of MHEAC.

Since its inception, MHEAC has maintained a program to finance student loans originated pursuant to the Federal Family Education Loan Program. Student loans are financed through the issuance of asset-backed securities. These securities are limited obligations of the issuer and, as such, are payable solely from the student loans and other assets pledged under the applicable indentures.  The securities do not constitute general obligations of the issuer.
